4) Services overview

We provide marketing, communications, and related tools, content, and offers for buyers and partners. We may add, modify, or discontinue features from time to time, and some features may be offered as beta or limited releases that can change or be withdrawn at any time; prices and availability may also change as offerings evolve out of beta .

5) Purchases, subscriptions, trials, and billing

- Pricing and taxes: Prices are shown before taxes unless stated otherwise. You are responsible for applicable taxes.

- Recurring subscriptions: If you enroll in a subscription, you authorize recurring charges until you cancel.

- Cancellation: For monthly subscriptions, provide at least ten (10) days’ notice before the next billing cycle to avoid the next charge; cancellations take effect at the end of the current billing period, and we do not prorate partial months .

- Refunds: Except where required by law or expressly stated, fees already paid are non‑refundable, including previously billed subscription months .

6) SMS/MMS program terms (A2P)

- Program description: With your express consent, we may send SMS/MMS messages with updates, alerts, and marketing.

- Opt‑in and consent: You will receive marketing texts only if you opt in. Consent is not a condition of purchase.

- Opt‑out: Reply STOP to cancel at any time. For help, reply HELP. Message frequency varies; message and data rates may apply.

- The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

- We do not guarantee that the Services will be uninterrupted, timely, secure, error‑free, or free of harmful components, or that results will meet your needs.

12) Limitation of liability

To the maximum extent permitted by law:

- We will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business interruption.

- Our aggregate liability for any claim will not exceed the amounts you paid to us for the Services giving rise to the claim in the 3 months preceding the event.

13) Indemnification

You will defend, indemnify, and hold harmless The Buyers Group and our affiliates, officers, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Services, or your violation of these Terms or applicable law.

14) Termination and suspension

We may suspend or terminate access to the Services at any time with or without notice if we believe you violated these Terms or to protect users, our business, or the Services. You may stop using the Services at any time; cancellation and refund rules in Section 5 apply .

15) Changes to the Services or Terms

We may update these Terms from time to time. Changes will be posted with a new “Effective date,” and continued use after changes constitutes acceptance. We may also add, change, or discontinue features or offerings, including those moving out of beta, and may adjust pricing accordingly .

16) Governing law; arbitration; class‑action waiver

- Governing law/venue: These Terms are governed by the laws of the State of Texas, without regard to conflict‑of‑laws rules, and the exclusive venue for any non‑arbitrable matter will be state or federal courts in Travis County, Texas.

- Arbitration: Any dispute arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration under the rules of the American Arbitration Association. Either party may bring an individual claim in small‑claims court instead.

- Class‑action waiver: You and we agree that each may bring claims only in an individual capacity and not as a class member or representative in any class or representative action.

17) Export and sanctions compliance

You agree to comply with all applicable export control and sanctions laws and not to use the Services in violation of such laws.

18) Electronic communications and notices

By using the Services, you consent to receive communications from us electronically. We may provide notices by email, SMS (if you opted in), through the Services, or by posting to the website.

19) Severability; waiver

If any provision is found unenforceable, it will be severed, and the remainder will continue in effect. Our failure to enforce any right is not a waiver of future enforcement.
